SSMHA approved bylaws 2019

BY-LAWS FOR A NON-PROFIT SOCIETY

Definitions

In these by-laws:

(a) (b) (c) "Society" means South Shore Minor Hockey Association

(society name)

"Registrar" means the Registrar of Joint Stock Companies appointed under the

Nova Scotia Companies Act.

"Special Resolution" means a resolution passed by not less than three-fourths of

such member entitled to vote as are present in person or by proxy, where proxies

are allowed, at a general meeting of which notice specifying the intention to

propose the resolution as a special resolution has been duly given.

Membership Rights and Responsibilities

2. The Society is ultimately accountable to the members of the Society.

Every member is entitled to attend any members' meeting of the Society.

Every member may vote at any members' meeting of the Society after they have attended at least

one previous members' meeting. For clarity, membership shall be restricted to one vote per legal

guardian, to a maximum of 2 votes per household.

Any member of legal age, or with their guardian's written consent, is entitled to hold any office.

Membership in the Society shall consist of:

(a) (b) (c)

the minimum of 5 subscribers to the Memorandum of Association,

those who support the objects of the Society,

those whose name and address is written in the Register of members by the

secretary,

(d) those who pay an annual fee in an amount to be determined by the Society, and/or

(e) those who reside in the geographic area of Town of Bridgewater, Town of Lunenburg,

Town of Mahone Bay, and/or the Municipality of the District of Lunenburg,

Membership in the Society is not transferable.

Membership in the Society shall cease:

(a) upon death, or

(b) if the member resigns by written notice to the Society, or

(c) if the member ceases to qualify for membership in accordance with these by-laws,

or

(d) if, by a majority vote of the Directors of the Society at a meeting duly called and for

which notice of the proposed action has been given, the Member's membership in the

Society has been terminated.

The members may repeal, amend or add to these by-laws by a special resolution. No by- amendment to by-laws shall take effect until the Registrar approves of it.

No funds of the society shall be paid to or be available for the personal benefit of any member.

Every member, subject to by-law 4, shall have one vote and no more and there shall not be proxy

voting

A general or special meeting of the members may be held at any time and shall be called:

(a) (b)

(c)

if requested by the chair, or

if requested by a majority of the directors, or

if requested in writing by five (5) of the members.

Notice to members is required for general or special meetings. The notice must:

(a) (b) be given to the members seven (7) days prior to the meeting,

specify the date, place and time of the meeting,

(c) be given to the members by e-mail and/or other electronic means,

(d)

specify the nature of business, such as the intention to propose a special resolution, and

(e)

the non-receipt of notice by any member shall not invalidate the proceedings.

An annual general meeting shall be held within three months after every fiscal year end and

notice is require which must:

(a) specify the date, place and time of the meeting,

(b) be given to the members fourteen (14) days prior to the meeting,

(c) be given to the members by e-mail and/or other electronic means,

(d)

specify the intention to propose a special resolution, and

(e)

the non-receipt of notice by any member shall not invalidate the proceedings.

At the annual general meeting of the Society the following items of business shall be dealt with

and shall be deemed ordinary business and all other business transacted shall be deemed special

business:

minutes of the previous annual general meeting,

consideration of the annual report of the directors,

consideration of the annual financial report of the Society,

the appointment of auditors for the ensuing year, and

election of directors.

Quorum shall consist of five (5) members. No business shall be conducted at any meeting

unless a quorum is present to open the meeting and, upon request, before any vote.

If a meeting is convened as per by-law 12(a) or 12(b) and quorum is not present within

one-half hour from the time appointed for the meeting, it shall be adjourned to such time

and place as a majority of the members present shall decide. Notice of the new meeting

shall be given and at the purpose of winding up the Society.

If a meeting is convened at the request of the members as per by-law 12(c) and quorum is

not present within one-half hour from the time appointed for the meeting, it shall be

dissolved.

Results of Special Meeting

Good Morning South Shore Minor Hockey Association members,

 

Last night’s special meeting results are as follows: as the required 75% threshold was not met to remove either Board member, the current Board will remain intact.

 

For transparency, the vote results were as follows:

President: 71 votes to remove, 39 votes to retain

Vice President: 49 votes to remove, 61 votes to retain


This issue has been reviewed through all appropriate channels, and the matter is now officially closed.

 

The Secretary position remains vacant at this time. The Board will reassess filling this role through an election by the association’s membership in the new year.

Special Meeting Agenda - December 18th

AGENDA – SPECIAL MEETING OF THE MEMBERS OF THE SOUTH SHORE HOCKEY ASSOCIATION – BEST WESTERN, COOKVILLE

DECEMBER 18TH, 2025

Call to order – President/Chairperson – 7:00 p.m.

Reading of the two special resolutions to be voted upon, being as follows:

A vote to occur via special resolution to remove Darren Spitzig (as President) from the SSMHA Board of Directors.

A vote to occur via special resolution to remove Josh Whynot (as Vice President) from the SSMHA Board of Directors.

Voting to commence via paper ballot at 7:05 p.m. and voting will conclude with ballot boxes being removed at 8:30 p.m. sharp. 

Please note the following:

There will be no further business conducted at this meeting.  The voting results will be announced by e-mail to the membership once votes are tabulated and confirmed. 

To vote, a voter must be a member in good standing with the SSMHA.  Membership shall be restricted to one vote per legal guardian, to a maximum of two votes per household (as per SSHMA by-laws).  Membership lists will be cross-referenced at the door and identification may be requested, so all members should bring photo ID.

Voting will be conducted by secret paper ballot at voting stations and scrutineered. There is no proxy voting or virtual voting permitted.  Members must vote in person before 8:30 p.m.

Any questions in advance of the meeting should addressed to <icescheduler@ssmha.ca>.  There will be no question-and-answer period at this meeting, so any inquiries must be addressed in advance.

SPECIAL MEETING ANNOUNCEMENT

NOTICE OF SPECIAL MEETING OF THE MEMBERS OF THE SOUTH SHORE MINOR HOCKEY ASSOCIATION:

A special meeting has been requested in writing by more than 5 members of the Association, pursuant to SSMHA By-law 12 (c).

The said members have requested (pursuant to SSMHA By-law 26, that the two following votes be held:

A vote to occur via Special Resolution to remove Darren Spitzig from the SSMHA Board of Directors as President

A vote to occur via Special Resolution to remove Josh Whynot from the SSMHA Board of Directors as Vice President

For clarity, a special resolution must be passed by not less than three-fourths (75 percent) of the members of the SSMHA who are entitled to vote and are in present in person.  No proxy votes or “virtual votes” will be permitted. 

The meeting will be held at 7 p.m. on Thursday, December 18 at the Best Western Hotel in Cookville.  Voting will open as soon as possible after 7 p.m. and conclude at 8:30 p.m.

Membership lists will be cross-referenced at the door and identification may be requested, so all members should bring photo ID.

These votes will be held by secret paper ballot and properly scrutineered after the meeting with results to be announced as soon as possible after the meeting.

SSMHA Registration is Open for the 2024-2025 Season

Registration is now open for the 2024-2025 hockey season.

Registration prices remain the same as last year for the upcoming season for players.

U7 (First Year) - $450

U7 (Second/Third Year) - $550

U9 - $700

U11/U13/U15 - $950

U18 - $1000

GOALIE FEES REDUCED - All goalies (U9-U18) will have a registration fee of $100 for the season.  

This reduction in fees is to help accommodate the additional costs of goalie protective gear and extra goalie specific training.  This reduction in goalie fees has been made possible due to grants we've applied for and received for this initiative.  We hope that this reduction in fees will also allow some interested potential goalies to try the position as our association is experiencing a goalie shortage at multiple levels.  We also now have goalie gear for players enrolled in the U7-U9 divisions to try the position which was purchased with a combination of fundraising efforts this past U7/U9 season as well as a grant. Please note that if your child registers as a goalie and makes the decision to switch to player, you will then be billed the player registration fees for the applicable age division.

Due to an increase in ice fees for the upcoming season we have added a Tryout Fee of $25 to help offset this cost.  If your player will be attending tryouts please ensure you add the tryout fees for the applicable age category to your cart before checking out.

Registration will be open until September 8 for U7-U15.  Registration for U18 will remain open until September 17.

Additional information will be sent out regarding the pre-season skates when we have confirmation of the ice times we have requested at the LCLC.

We will have additional training adds for development at each arena this season due to a combination of grants and fundraising initiatives last season. We thank you all for your support last season to make this possible.
